Astro ACH Payment Platform Terms

1. Purpose

Astro ACH is an automated payment platform that facilitates manufacturer reimbursement to retailers for approved Astro Offers and Frequent Buyer redemptions.

2. Payment Timing

• Payments are processed once per month.

• ACH payments are issued approximately on the 20th day of the month following program close, contingent upon:

• Manufacturer approval of redemptions

• Manufacturer funding of the ACH escrow

Astro does not issue off-cycle, expedited, or manual payments.

3. Retailer Banking Information

• Retailers are solely responsible for providing accurate and complete ACH banking information within the Astro platform.

• If ACH information is missing or invalid, payment will fail and be reprocessed in the next scheduled payment cycle once corrected.

• Astro is not responsible for payment delays caused by incorrect retailer banking information.

4. Manufacturer Responsibilities

Manufacturer agrees to:

• Submit programs no less than 60 days prior to program start

• Approve redemptions within the Astro platform

• Approve ACH funding by the 5th business day of the month following program close

• Fund ACH escrow by the 15th of the month

• Use Astro-provided tools to manage payment approvals and retailer ACH status

5. Astro Responsibilities

Astro agrees to:

• Provide and maintain the ACH payment platform

• Process payments based solely on approved and funded amounts

• Provide automated system notifications to retailers regarding ACH status

• Provide manufacturers visibility into ACH activity and payment status

Astro does not directly contact retailers to resolve ACH errors or collect banking information.
